1. Agreement to Terms

By accessing and using Texas.ad (the "Site"), operated by Texas Ad Directory ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site.

Texas Ad Directory is a platform that connects Texas businesses with marketing agencies. We provide:

• A directory of vetted marketing agencies across Texas
• A project brief submission system for businesses to receive proposals
• Educational resources and marketing guides
• Listing services for marketing agencies (free and paid plans)

3. User Accounts

3.1 Account Creation

To access certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Types

We offer different account types:

• Business Users: Can browse agencies and submit project briefs
• Agency Owners: Can manage agency listings and respond to project briefs
• Administrators: Platform management access

4. Agency Listings

4.1 Listing Requirements

To list an agency on our platform, you must:

• Be a legitimate marketing agency operating in Texas
• Provide accurate business information
• Have the authority to represent the agency
• Maintain current and accurate listing information

4.2 Listing Verification

We reserve the right to verify agency information and approve or reject listings at our discretion. We may remove listings that violate these Terms or provide false information.

4.3 Paid Listings

Paid listing plans (Featured and Sponsored) are subject to the following:

• Subscriptions are billed monthly in advance
• You may cancel at any time; cancellation takes effect at the end of the current billing period
• Refunds are not provided for partial months
• Prices are subject to change with 30 days notice
• We reserve the right to suspend or terminate paid listings for Terms violations

5. Project Briefs and Proposals

5.1 For Businesses

When submitting a project brief, you agree that:

• Your contact information will be shared with relevant agencies
• You are genuinely seeking marketing services
• You will respond professionally to agency proposals
• You will not use the platform to solicit agencies for purposes other than hiring their services

5.2 For Agencies

When submitting proposals, you agree to:

• Provide honest and accurate information
• Honor the pricing and timelines you propose
• Communicate professionally with potential clients
• Not spam businesses with unsolicited communications

5.3 Platform Role

Texas Ad Directory facilitates connections between businesses and agencies but is not a party to any agreements between them. We are not responsible for the quality, timeliness, or outcome of any services provided by agencies listed on our platform.

6. Prohibited Uses

You agree not to use the Site for any of the following:

• Any unlawful purpose or in violation of any applicable laws
• Soliciting others to perform or participate in any unlawful acts
• Violating any intellectual property rights
• Harassing, abusing, or harming another person
• Submitting false or misleading information
• Uploading viruses or malicious code
• Attempting to gain unauthorized access to our systems
• Engaging in automated data collection (scraping) without permission
• Impersonating another person or entity
• Interfering with the proper functioning of the Site

7. Intellectual Property

The Site and its content, features, and functionality are owned by Texas Ad Directory and are protected by copyright, trademark, and other intellectual property laws. You may not:

• Reproduce, distribute, or create derivative works without our permission
• Use our trademarks without written permission
• Remove copyright or proprietary notices

8. User-Generated Content

By submitting content to the Site (including agency descriptions, reviews, project briefs, and proposals), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display that content in connection with operating the Site.

You represent and warrant that you own or have the necessary rights to the content you submit and that it does not violate any third-party rights.

9. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Site will be uninterrupted, secure, or error-free
• The results obtained from using the Site will be accurate or reliable
• Any errors will be corrected
• The agencies listed will provide satisfactory services

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TEXAS AD DIRECTORY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from these Terms or your use of the Site shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Texas Ad Directory and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Site
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit to the Site

12. Payment Terms

For paid services:

• All fees are in U.S. Dollars
• Payment is processed through Stripe
• You authorize us to charge your payment method on a recurring basis
• Failed payments may result in service suspension
• We reserve the right to change prices with 30 days notice

13. Termination

We may terminate or suspend your account and access to the Site immediately, without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• At our sole discretion for any reason

Upon termination, your right to use the Site will immediately cease. We are not liable for any damages resulting from termination.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Site shall be resolved through binding arbitration in Texas, except that either party may seek injunctive relief in court.

16. Changes to Terms
